Terms and Conditions

PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY BEFORE USING THE VELOCITY AUTO SPA MOBILE APPLICATION OR WEBSITE. BY CREATING AN ACCOUNT, PURCHASING A WASH OR MEMBERSHIP, OR OTHERWISE USING OUR SERVICES, YOU AGREE TO BE BOUND BY THESE TERMS.

1. Introduction and Acceptance

These Terms and Conditions (“Terms”) govern your access to and use of the Velocity Auto Spa mobile application, website, online store, and related services (collectively, the “Services”) operated by HPD-Velocity Auto Spa LLC (“HPD-Velocity Auto Spa,” “we,” “us,” or “our”). By accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you may not use the Services.

You must be at least 18 years of age and capable of entering into a binding contract to use the Services. If you are using the Services on behalf of an entity, you represent that you have authority to bind that entity to these Terms.

2. Description of Services

Velocity Auto Spa provides exterior car wash services at our physical locations. Through our Services, you can:

• Purchase one-time car wash packages
• Enroll in unlimited wash memberships and recurring subscription plans
• Participate in our loyalty and rewards program
• Manage your account, payment methods, vehicles, and membership status
• Receive promotional offers and account-related communications

3. Account Registration

To access certain features, you must create an account by providing accurate, current, and complete information, including your name, email address, phone number, vehicle details (including license plate), and payment information. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activity that occurs under your account
• Promptly updating your information to keep it accurate
• Notifying us immediately of any unauthorized access or security breach

We reserve the right to suspend or terminate accounts that contain false information, are used in violation of these Terms, or pose a risk to our Services or other users.

4. Memberships and Recurring Subscriptions

4.1 Auto-Renewal

By enrolling in a Velocity Auto Spa membership or subscription plan, you acknowledge and agree that:

• Your membership will automatically renew on a recurring basis (monthly, unless otherwise specified at the time of purchase) until you cancel.
• You authorize Velocity Auto Spa to automatically charge the payment method on file for the applicable membership fee at the start of each billing cycle, plus any applicable taxes.
• You will be charged at the then-current rate for your membership tier, which may change as described in Section 4.4.
• Membership fees are billed in advance and are non-refundable except as expressly provided in these Terms or as required by Kentucky law.

4.2 Cancellation

You may cancel your membership at any time through the app, website, or by contacting Velocity Auto Spa customer support. Cancellations take effect at the end of the then-current billing cycle. You will retain access to membership benefits through the end of the paid period. We do not provide pro-rated refunds for partial billing cycles unless required by applicable law.

4.3 Free Trials and Promotional Offers

If we offer a free trial or promotional period, you must cancel before the trial ends to avoid being charged. Upon expiration of the trial or promotional period, your membership will automatically convert to a paid recurring subscription at the standard rate disclosed at signup, unless you cancel.

4.4 Price Changes

We may change the price of memberships, subscriptions, or wash packages from time to time. We will provide at least thirty (30) days’ advance notice of any price increase by email or through the Services. Continued use of the membership after the effective date of the price change constitutes your acceptance of the new price. If you do not agree, you may cancel before the new price takes effect.

4.5 Vehicle Restrictions

Each membership is associated with a specific vehicle and license plate. Memberships are non-transferable between vehicles except through the procedures described in the app. We reserve the right to suspend or terminate memberships used fraudulently, including (without limitation) attempts to share a single membership across multiple unauthorized vehicles.

5. One-Time Purchases

One-time wash purchases are charged to your payment method at the time of purchase and are generally non-refundable once redeemed. Unredeemed prepaid washes may be subject to expiration as disclosed at the time of purchase.

6. Loyalty and Rewards Program

Our loyalty program (“Rewards”) allows eligible customers to earn points or rewards based on qualifying purchases and activities. By participating, you agree that:

• Points and rewards have no cash value and are not transferable, redeemable for cash, or refundable.
• Points may expire after a period of inactivity as disclosed in the program rules.
• We may modify, suspend, or terminate the Rewards program, or change earning and redemption rules, at any time with reasonable notice.
• Fraudulent or abusive activity may result in forfeiture of points and termination of program participation.
• Rewards are subject to availability and the specific terms disclosed in-app or in-store at the time of redemption.

7. Payment Terms

All prices are stated in U.S. dollars and are exclusive of applicable taxes unless otherwise indicated. By providing a payment method, you authorize us (or our third-party payment processors) to charge that payment method for all amounts owed. If a payment is declined, we may attempt to re-process the charge, suspend or terminate your membership, and/or charge any reasonable fees permitted by law.

You are responsible for keeping your payment information current. If your payment method expires or becomes invalid, your membership benefits may be suspended until a valid payment method is provided.

8. License Plate Recognition (LPR)

Our facilities may use license plate recognition technology to identify member vehicles for entry, redeem prepaid washes, and prevent fraud. By enrolling a vehicle in our Services, you consent to the capture, processing, and storage of your license plate image and number for these purposes. See our Privacy Policy for additional details.

9. Use of Facilities and Customer Conduct

When using our physical car wash locations, you agree to:

• Follow all posted signs, attendant instructions, and safety guidelines
• Remove or secure all loose items, antennas, and accessories before entering the wash
• Disclose any aftermarket modifications, damaged components, or pre-existing damage
• Operate your vehicle safely on our premises
• Refrain from any conduct that is unlawful, harassing, or that interferes with other customers or staff

Velocity Auto Spa reserves the right to refuse service to any vehicle or customer at our discretion, including vehicles that are oversized, damaged, modified, or in a condition that may pose a risk to our equipment, our staff, or other customers.

10. Damage Claims and Limitations

Velocity Auto Spa takes pride in the quality and safety of our wash equipment. However, we are not responsible for:

• Damage to loose, broken, or improperly installed parts (including antennas, mirrors, moldings, wiper blades, body trim, or accessories)
• Pre-existing damage, rust, oxidation, or paint defects
• Aftermarket parts or modifications not designed for automatic car wash use
• Damage to vehicles that fail to follow posted instructions or attendant guidance
• Items left inside the vehicle or in exterior compartments

All damage claims must be reported to a Velocity Auto Spa attendant or manager before the vehicle leaves the premises. Claims reported after departure may not be eligible for review. Submission of a claim does not constitute an admission of liability. All claims are evaluated on a case-by-case basis.

11. Intellectual Property

The Services, including all content, software, trademarks, logos, designs, and other materials, are owned by Velocity Auto Spa or our licensors and are protected by U.S. and international intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for personal, non-commercial purposes in accordance with these Terms. You may not:

• Copy, modify, distribute, sell, or create derivative works of the Services
• Reverse engineer, decompile, or attempt to extract source code
• Use any automated means (bots, scrapers, etc.) to access the Services
• Use our trademarks or branding without prior written permission

12. Prohibited Conduct

You agree not to use the Services to:

• Violate any law, regulation, or third-party right
• Submit false, misleading, or fraudulent information
• Interfere with or disrupt the Services or servers
• Attempt to gain unauthorized access to any account, system, or network
• Transmit viruses, malware, or other harmful code
• Engage in chargeback abuse, fraudulent payment activity, or membership fraud

13. Third-Party Services

The Services may integrate with third-party services (including payment processors, mapping providers, analytics, and push notification services). Your use of those services is subject to the third party’s own terms and privacy policies. We are not responsible for the content, policies, or practices of any third-party services.

14. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED OPERATION. WE DO NOT WARRANT THAT THE SERVICES WILL BE ERROR-FREE, SECURE, OR FREE OF VIRUSES OR HARMFUL COMPONENTS. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VELOCITY AUTO SPA AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.

OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO VELOCITY AUTO SPA IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).

16. Indemnification

You agree to indemnify, defend, and hold harmless Velocity Auto Spa, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to (a) your use of the Services, (b) your violation of these Terms, (c) your violation of any law or third-party right, or (d) any content or information you submit through the Services.

17. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Commonwealth of Kentucky, without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms or the Services shall be resolved exclusively in the state or federal courts located in Kentucky, and you consent to the personal jurisdiction of those courts.

18. Changes to These Terms

We may modify these Terms at any time. If we make material changes, we will provide notice through the Services or by email at least thirty (30) days before the changes take effect (unless a shorter period is required by law or to address a security or legal issue). Your continued use of the Services after the effective date constitutes acceptance of the updated Terms.

19. Termination

We may suspend or terminate your access to the Services at any time, with or without notice, for any reason, including violation of these Terms. Upon termination, your right to use the Services ceases immediately. Sections that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, indemnification, and governing law) will survive.

20. Miscellaneous

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Velocity Auto Spa regarding the Services. If any provision is held unenforceable, the remaining provisions will remain in full force. Our failure to enforce any right or provision is not a waiver. You may not assign these Terms; we may assign them without restriction.
